Influencer Terms

Introduction

By registering as a Content Creator for Fanni Williams, you acknowledge and agree to be bound by the following Terms and Conditions. Please read these carefully, as they outline your rights and responsibilities as a Content Creator participating in the Project.

Interpretation

In these Terms and Conditions:

• Agreement: The binding agreement between Fanni Williams and you, consisting of these Terms and Conditions and the Deliverables Letter.
• Brand: The brand partnered with Fanni Williams for the Project, specified in the Deliverables Letter.
• Fanni Williams Materials: Materials or information owned by or licensed to Fanni Williams and/or Brand provided to you in connection with the Agreement.
• Project: The influencer marketing Project involving a Brand and you, detailed in each Deliverables Letter.
• Content: Social media content created and uploaded by you in relation to the Project.
• Deliverables Letter: The statement of work provided to you upon acceptance of your Project Application, detailing project specifics.
• Deliverables: The proceeds of your Services required for each Project, as detailed in the Deliverables Letter.
• Intellectual Property Rights: All present and future patents, trade secrets, trademarks, copyrights, and other intellectual property rights.
• Media: Any platform where the Content is posted and/or displayed, detailed in each Deliverables Letter.
• Product: The product(s) forming the subject matter of the Project.
• Content Creator: An influencer with a registered account with Fanni Williams for participating in influencer marketing Projects.
• Services: The services required for each Project, including the provision of Deliverables.
• Term: The duration of the Project as set out in the Deliverables Letter.
• Terms and Conditions: These terms and conditions along with Fanni Williams’ privacy policy.
• Territory: The Republic of South Africa.

Capacity

By submitting the Project Application, you warrant that you are at least 18 years old. If you are under 18, you must have your parents’ prior permission to participate. Parents providing permission take full responsibility for their child’s participation in the Project.

Project Application

To participate, complete and submit a Project Application. Fanni Williams has no obligation to accept all applications. If accepted, written confirmation will be provided.

Duration of Our Agreement

The Agreement begins on the date specified in the Deliverables Letter and continues until the end of the Project Term unless terminated as per clause ‎‎17.

Product Delivery

Fanni Williams will deliver the Product and Deliverables Letter to your Content Creator’s Premises. It is your responsibility to inspect the Product upon receipt. In exchange, you provide the Services as per the Agreement.

Your Obligations

You agree to cooperate with Fanni Williams, providing necessary materials and keeping Deliverables accessible to the public for the Project Term. Deliverables must include specified tags, links, and titles. You also register as a Content Creator on the Fanni Williams website, linking your account with applicable social media platforms.

Warranties and Representations

You warrant that you can provide the Services without breaching third-party obligations, possess the necessary skills, provide Services with due care, ensure Deliverables’ usage doesn’t harm Fanni Williams or the Brand, and adhere to ethical content creation. You agree to report any inability to provide Services promptly.

Honesty

You must not misrepresent your audience size or engagement. Followers must be obtained organically. Fanni Williams may terminate the Agreement if dishonesty is suspected.

Changes

Fanni Williams may request changes to the Deliverables Letter. While not reviewing Deliverables before posting, Fanni Williams reserves the right to request amendments or removal.

Unavailability of Influencers

If unavailable or unwilling to provide Services, inform Fanni Williams promptly. If the Product needs collection, you reimburse Fanni Williams for reasonable costs.

Competition

During the Project Period, you agree not to market competing products or publish content for Brand competitors.

Content Creator Incentive

The Deliverables Letter may include Content Creator incentives. The winner is chosen at Fanni Williams’ discretion.

Confidentiality

Both parties agree not to disclose Agreement terms and conditions or use each other’s confidential information, except as necessary for Agreement fulfillment.

Intellectual Property

Fanni Williams exclusively owns Deliverables’ rights, including the right to sublicense. You grant Fanni Williams a license to use Deliverables and acknowledge promotional use rights for non-commercial purposes.

Continuation After Expiry or Termination

Clause 15 provisions continue after Agreement expiry or termination.
